LEASE+LOAN MASTER SOFTWARE LICENSE, PRIVACY AND HOSTED SERVICES AGREEMENT
LEASEMASTER.COM SOFTWARE LICENSE, PRIVACY AND HOSTED SERVICES AGREEMENT
DEALERDEVICE.COM SOFTWARE LICENSE, PRIVACY AND HOSTED SERVICES AGREEMENT
Version 2026.10.30
Effective October 30, 2026
IMPORTANT — READ CAREFULLY.
This Software License and Hosted Services Agreement ("Agreement") is a legal agreement between you, either individually or on behalf of the business or organization for which you are acting ("Licensee"), and leasemaster.com ("Licensor") concerning Lease+Loan Master, LeaseMaster, DealerDevice, associated modules, utilities, documentation, updates, and related services collectively referred to as the "Software."
The Software may be provided as software installed on a local computer or network ("Local Software"), through a remote, cloud, Internet, Remote Desktop, or hosted environment ("Hosted Services"), or through a combination of both.
By installing, copying, downloading, accessing, purchasing, activating, subscribing to, or otherwise using the Software or Hosted Services, or by electronically accepting this Agreement, Licensee agrees to be bound by its terms.
If Licensee does not agree to this Agreement, Licensee must not install, access, activate, purchase, subscribe to, or use the Software or Hosted Services.
Any applicable refund rights shall be determined by the terms presented at the time of purchase and applicable law.
1. LICENSE GRANT
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Software solely for Licensee's internal business purposes and subject to this Agreement.
The proper use of Lease+Loan Master may also be described in the User Guide and other documentation supplied by Licensor, which are incorporated into this Agreement to the extent applicable.
Licensor may update, modify, enhance, replace, or discontinue individual features of the Software as reasonably necessary for maintenance, compatibility, security, regulatory changes, technological changes, or product development.
2. OWNERSHIP AND COPYRIGHT
The Software is licensed and not sold.
All ownership rights, copyrights, intellectual-property rights, source code, program logic, screen designs, documentation, utilities, and related materials remain the property of Licensor or their respective owners.
Copyright © 1989-2026 leasemaster.com. All Rights Reserved.
Except as expressly authorized by Licensor, Licensee may not reproduce, distribute, sell, sublicense, rent, lease, publish, modify, reverse engineer, decompile, disassemble, or provide unauthorized access to the Software.
No transfer or sale of a license is permitted without prior approval and registration by Licensor.
3. LOCAL SOFTWARE LICENSES
For Local Software, each licensed installation may be used only by Licensee and its authorized personnel.
Unless otherwise agreed in writing, licenses purchased for Local Software must be used under the same licensed business name and in accordance with the number and type of licenses purchased.
Licensee may be required to unregister or deactivate a Local Software installation before transferring the licensed installation to another computer.
Installation, activation, registration, transfer, backup, and licensing requirements may change as technology or licensing systems are updated.
The restrictions applicable to moving Local Software between computers do not apply to Hosted Services accessed through an authorized hosted account.
4. HOSTED SERVICES
Hosted Services provide Licensee with remote access to the Software and related data through servers, networks, Internet connections, telecommunications systems, third-party hosting facilities, operating systems, and related technologies.
Licensee acknowledges that Hosted Services inherently depend upon systems and services that may be outside Licensor's direct control.
Licensor does not guarantee that Hosted Services will operate continuously, without interruption, without latency, or without error.
Availability may be affected by scheduled maintenance, emergency maintenance, Internet outages, telecommunications failures, power failures, hardware or software failures, third-party service interruptions, security incidents, governmental actions, or other circumstances beyond Licensor's reasonable control.
Temporary interruption of Hosted Services shall not constitute a breach of this Agreement when Licensor is using reasonable efforts to restore service.
5. AUTHORIZED USERS
Hosted Services may be licensed according to authorized users, concurrent users, subscriptions, or another licensing method stated at the time of purchase.
Licensee shall not permit unauthorized persons to use hosted accounts.
Licensee is responsible for identifying personnel who are authorized to access its account and for promptly notifying Licensor when access should be removed.
Each user may be provided with individual credentials.
Licensee may not share credentials in a manner intended to defeat user-license limitations.
6. SUBSCRIPTION, FEES AND RECURRING BILLING
Hosted Services are subscription services unless otherwise stated at the time of purchase.
Fees, setup charges, discounts, number of licensed users, billing intervals, and other charges shall be those displayed or agreed upon at the time of purchase.
Unless otherwise stated, Hosted Services are billed on a recurring monthly basis.
By submitting payment information and authorizing a Hosted Services subscription, Licensee authorizes Licensor and its payment processor to charge the payment method provided for:
the initial amount shown at checkout;
applicable setup charges;
recurring subscription charges;
additional authorized users or services ordered by Licensee; and
applicable taxes or other agreed charges.
Recurring authorization continues until the subscription is canceled in accordance with Licensor's cancellation procedures.
Licensee is responsible for maintaining valid payment information.
Licensor may suspend Hosted Services for nonpayment after reasonable efforts to resolve the delinquency.
Licensor may modify subscription prices upon prior notice to Licensee. Price changes shall apply prospectively and not retroactively to charges already incurred.
SUBSCRIPTION MODIFICATION REQUESTS AND APPROVAL
An individual designated by Licensor as an Authorized Account Manager for Licensee's account may request the addition, removal, or modification of user logins, subscription services, or optional products by submitting a message through the authenticated DealerDevice Online Support Desk or another communication method accepted by Licensor. Licensor may require additional verification of the requester's authority.
All requested modifications are subject to Licensor's review and express approval. Submitting a request does not itself change the number of licensed users, subscription fees, billing terms, or service entitlements; does not establish a price proposed by Licensee; and does not obligate Licensor to accept or implement a requested change. Licensor may approve, decline, or propose alternative terms.
Before implementing an approved modification that changes recurring charges, Licensor will communicate the revised amount, billing frequency, effective date, and any applicable one-time charges or proration. Licensee must expressly authorize the disclosed charges and terms, and Licensor must confirm its approval. Authorization may be given through the authenticated Support Desk or another written or electronic method accepted by Licensor. A preliminary request to add users or services is not, by itself, authorization for an increased recurring charge.
A confirmed modification may be implemented by adjusting an existing subscription or by establishing separate billing for optional products or services, as agreed by the parties. Unless and until a modification is confirmed, the previously agreed subscription terms remain in effect. Requests to cancel a subscription remain subject to the applicable cancellation terms and are not made contingent on approval of a different pricing proposal.
OPTIONAL THIRD-PARTY FORMS, CONTENT AND SERVICES
Subject to availability and appropriate authorization from the relevant rights holders, Licensor may offer access to third-party copyrighted laser forms, electronic forms (e-forms), document packages, form credits, and related integration, activation, processing, or support services. These offerings may involve per-form or per-transaction charges, prepaid credits, recurring access fees, setup or activation charges, or other disclosed fees.
Optional offerings are not included in the base Hosted Services subscription unless expressly stated. Any additional charge will be disclosed and must be accepted by Licensee before it is imposed. Orders and modifications remain subject to Licensor's approval and to any applicable third-party licensing restrictions, provider conditions, and availability. Third-party fees may be included in an existing subscription or billed separately, as agreed by the parties.
A request for an optional product or service, without acceptance of its applicable price and Licensor's approval, does not authorize a charge. Nothing in this Agreement represents that any particular third-party form, service, or license is presently available or guarantees future availability.
7. CUSTOMER DATA OWNERSHIP
As between Licensee and Licensor, Licensee retains ownership of the business and customer data entered, uploaded, created, or maintained by Licensee through the Software or Hosted Services ("Customer Data").
Licensee grants Licensor the limited right to store, access, copy, transmit, process, back up, restore, and otherwise handle Customer Data solely as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Hosted Services or as required by law.
Licensor does not acquire ownership of Customer Data merely because the data is stored within Hosted Services.
8. LICENSEE RESPONSIBILITY FOR CUSTOMER DATA
Licensee determines what information is entered into the Software.
Licensee represents that it has the legal authority, permissions, and consents necessary to collect, use, retain, process, and store Customer Data.
Licensee remains responsible for compliance with privacy, lending, consumer-protection, record-retention, disclosure, and other laws applicable to Licensee's business.
Licensee is responsible for determining whether information should or should not be entered into the system.
9. SECURITY AND CYBERSECURITY
Licensor will use reasonable administrative, technical, and operational safeguards appropriate to the nature of the Hosted Services and the information processed.
Licensee acknowledges and agrees that no computer system, server, cloud service, network, communications system, backup system, or security procedure can be guaranteed to be completely secure, continuously available, or immune from unauthorized access or attack.
To the maximum extent permitted by applicable law, Licensor shall not be responsible for loss, disclosure, alteration, destruction, theft, or unauthorized access to Customer Data resulting from circumstances outside Licensor's reasonable control, including:
hacking or criminal cyberattacks;
ransomware;
malware;
viruses;
denial-of-service attacks;
previously unknown or newly discovered vulnerabilities;
phishing;
social-engineering attacks;
stolen or compromised usernames or passwords;
compromised customer computers or mobile devices;
compromised customer networks;
unauthorized conduct by Licensee's employees, contractors, former employees, or other users;
third-party hosting-provider incidents;
telecommunications-provider incidents;
Internet-provider incidents;
operating-system or software-vendor vulnerabilities;
governmental actions;
terrorism;
war;
natural disasters; or
other events outside Licensor's reasonable control.
Nothing in this Agreement eliminates an obligation or liability that applicable law does not permit the parties to eliminate.
10. PASSWORDS AND CUSTOMER SECURITY RESPONSIBILITIES
Licensee is responsible for protecting usernames, passwords, access credentials, computers, mobile devices, printers, networks, and other equipment used to access the Software.
Licensee shall use reasonable precautions to prevent unauthorized access.
Licensee shall promptly notify Licensor if Licensee knows or reasonably suspects that an account or credential has been compromised.
Licensee is responsible for activity performed using Licensee's authorized accounts except to the extent directly caused by Licensor.
Licensor may temporarily disable or suspend an account when reasonably necessary to protect Licensee, Customer Data, other users, or the Hosted Services.
11. SECURITY INCIDENTS AND DATA BREACHES
If Licensor becomes aware of a confirmed security incident affecting Customer Data maintained through Hosted Services, Licensor will provide notice and reasonable cooperation as required by applicable law.
Investigation, notification, restoration, remediation, password resets, account suspension, or other protective action following a security incident shall not constitute an admission of negligence, wrongdoing, or liability by Licensor.
Each party remains responsible for notifications, governmental reports, consumer communications, or other actions imposed upon that party by applicable law.
12. BACKUPS AND DATA LOSS
Licensor may employ backup, replication, recovery, snapshot, or other data-protection systems as part of Hosted Services.
However:
NO BACKUP, STORAGE, RECOVERY, OR COMPUTER SYSTEM IS GUARANTEED TO BE COMPLETELY FAIL-SAFE.
Licensee should maintain independent copies of records that Licensee is legally or commercially required to retain independently.
Where reasonably possible, restoration from an available backup shall be the primary remedy for accidental corruption or loss of hosted Customer Data.
Licensor shall not be liable for consequential or indirect damages resulting from loss or corruption of data except to the extent applicable law prohibits such limitation.
13. CUSTOMER ACCESS TO DATA
Subject to technical feasibility, account status, security requirements, and Licensor's then-current procedures, Licensor will make reasonable efforts to permit Licensee to obtain a copy of its Customer Data.
Termination of Hosted Services does not transfer ownership of Licensee's Customer Data to Licensor.
Licensor may establish reasonable retention and deletion periods following account termination.
Licensee is responsible for requesting any desired data copy before expiration of the applicable retention period.
14. THIRD-PARTY SERVICES
The Software and Hosted Services may use or depend upon third-party products or services, including:
hosting providers;
payment processors;
Microsoft products and services;
telecommunications providers;
Internet providers;
operating systems;
remote-access technologies;
printing technologies; and
other software or infrastructure providers.
Licensor does not control those third parties and shall not be responsible for failures, interruptions, security incidents, changes, discontinuation, or defects caused solely by such third parties and outside Licensor's reasonable control.
15. PAYMENT PROCESSING
Payments may be processed through third-party payment processors including Authorize.Net.
Licensor does not require Licensee to provide payment-card information directly to the Lease+Loan Master application when payment information is instead collected and processed through the authorized payment provider.
Payment processing is also subject to the payment provider's applicable terms and security procedures.
16. BUSINESS CALCULATIONS AND DECISIONS
Lease+Loan Master is a business software tool.
Licensee is responsible for reviewing and verifying information produced by the Software before relying upon it.
This includes, without limitation:
payments;
interest calculations;
residuals;
lease calculations;
loan calculations;
taxes;
disclosures;
contracts;
forms;
accounting entries;
customer information; and
other business calculations.
Licensor does not provide legal, accounting, tax, lending, regulatory, or financial advice.
The Software does not constitute a guarantee that Licensee's business practices comply with every applicable federal, state, or local law.
Licensee remains responsible for determining and complying with laws and regulations applicable to Licensee's business.
17. FORMS AND CONTRACTS
Forms and contracts may be programmed or customized upon request.
Prices for custom programming may be quoted separately and agreed upon before work begins.
Corrections to custom forms may be provided according to the support or maintenance terms applicable when the work was ordered.
THIRD-PARTY COPYRIGHTED FORMS
Where Licensor has obtained the necessary authorization, the Software or Hosted Services may provide access to licensed third-party laser forms, electronic forms (e-forms), copyrighted document packages, or form credits. Availability, permitted methods of use, applicable fees, and continuing access may be limited by the relevant copyright owner, publisher, or licensing provider.
Ownership and copyright in third-party forms remain with their respective rights holders. Licensee receives only the use rights expressly permitted under the applicable license or provider terms. No purchase, subscription, or form-credit transaction transfers ownership of the forms or grants an unrestricted right to copy, modify, redistribute, sublicense, or resell them.
Fees for licensed forms, form credits, transactions, access, or integration are governed by Section 6 and any applicable disclosed third-party terms. Licensor may refuse or discontinue access to third-party materials when authorization is unavailable, expires, or is withdrawn, subject to applicable law and any expressly agreed terms.
Licensee is responsible for determining whether particular forms, content, and completed documents are appropriate for Licensee's transactions and comply with applicable law.
Requests regarding custom forms should include the complete file name displayed in the Forms & Contracts Module and a clear description of the requested correction.
Requests may be submitted to:
support@leasemaster.com
18. UPDATES AND MAINTENANCE
Licensor may provide updates, corrections, modifications, new editions, or enhancements.
For Local Software, availability and pricing of future upgrades or maintenance may depend upon the license or maintenance plan purchased.
For Hosted Services, ordinary software updates may be incorporated into the hosted system as part of the active subscription.
Licensor may modify the Software where reasonably necessary to maintain compatibility, security, reliability, or regulatory functionality.
19. TECHNICAL SUPPORT
Technical support is available to accounts entitled to support under their applicable license or active subscription.
Support is generally offered through Licensor's support telephone number, email, website, or support system.
Current contact information includes:
(800) 701-6686
support@leasemaster.com
and the Contact or Support options available through the leasemaster.com website or Software.
Licensor presently endeavors to make ordinary technical support available between approximately 7:00 a.m. and 7:00 p.m. Eastern Time, seven days a week, but these hours are not guaranteed and may be modified.
After-hours assistance may be limited to emergency questions or previously arranged training.
Licensor reserves the right to modify support procedures, telephone numbers, hours, service levels, or charges and may impose reasonable limitations or charges in cases of excessive or abusive support usage.
20. DEMONSTRATION SOFTWARE
Demonstration or evaluation users are subject to this Agreement.
Demo versions may limit:
number of uses;
duration of use;
customer names;
features;
printing;
data;
help functions; or
other functionality.
Demo versions may display demonstration notices and may cease operating when the demonstration period expires.
21. LIMITED MEDIA WARRANTY FOR LOCAL SOFTWARE
If Local Software is delivered on physical media, Licensor warrants the physical integrity of that media for thirty (30) days from the original purchase date.
The remedy for breach of this limited media warranty is replacement of defective media.
This provision does not apply to downloaded Software or Hosted Services.
22. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR WARRANTIES EXPRESSLY STATED IN THIS AGREEMENT, THE SOFTWARE AND HOSTED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
ACCURACY;
AVAILABILITY;
SECURITY;
NON-INFRINGEMENT;
ERROR-FREE OPERATION; AND
UNINTERRUPTED OPERATION.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE OR HOSTED SERVICES WILL PREVENT EVERY CYBERATTACK, INTRUSION, MALWARE INFECTION, DATA-LOSS EVENT, PRIVACY INCIDENT, OR UNAUTHORIZED DISCLOSURE.
23. EXCLUSION OF CONSEQUENTIAL DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEASEMASTER.COM, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SOFTWARE AUTHORS BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SOFTWARE, HOSTED SERVICES, OR THIS AGREEMENT.
THIS INCLUDES, WITHOUT LIMITATION:
LOSS OF PROFITS;
LOSS OF REVENUE;
LOSS OF BUSINESS;
BUSINESS INTERRUPTION;
LOSS OF USE;
LOSS OR CORRUPTION OF DATA;
LOSS OF CUSTOMERS;
LOSS OF GOODWILL;
LOSS OF REPUTATION;
REPLACEMENT-SERVICE COSTS; OR
THIRD-PARTY CLAIMS AGAINST LICENSEE.
This exclusion applies regardless of legal theory and even if Licensor has been advised that such damages might occur, except where applicable law prohibits the exclusion.
24. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LEASEMASTER.COM ARISING OUT OF OR RELATING TO THE SOFTWARE, HOSTED SERVICES, CUSTOMER DATA, OR THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY LICENSEE TO LEASEMASTER.COM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies collectively to all related claims and shall not be multiplied by the number of users, records, transactions, affected persons, events, or legal theories asserted.
Nothing in this section limits liability that applicable law prohibits the parties from limiting.
25. LICENSEE INDEMNIFICATION
To the extent permitted by law, Licensee agrees to defend, indemnify, and hold harmless Licensor and its owners, employees, agents, and contractors from third-party claims, liabilities, losses, damages, and reasonable costs arising from:
Licensee's unlawful collection, use, retention, or disclosure of information;
data entered without proper authorization;
Licensee's violation of privacy, lending, consumer-protection, employment, or other laws;
misuse of the Software;
unauthorized activity resulting from Licensee's failure to reasonably protect credentials or equipment;
Licensee's contracts, representations, business decisions, or transactions;
content or information supplied by Licensee; or
Licensee's breach of this Agreement.
26. SUSPENSION AND TERMINATION
Licensor may suspend or terminate access for:
nonpayment;
material violation of this Agreement;
suspected unauthorized access;
security threats;
illegal activity;
fraudulent activity;
abuse of Hosted Services; or
activity reasonably believed to threaten Licensor, other customers, or the hosted environment.
Where circumstances reasonably permit, Licensor will attempt to provide notice and an opportunity to correct the issue before permanent termination.
Upon termination, Licensee's right to use the applicable Software or Hosted Services ends except for rights expressly surviving termination.
27. FORCE MAJEURE
Licensor shall not be liable for delay or failure to perform resulting from circumstances beyond its reasonable control, including:
natural disasters, hurricanes, floods, fires, war, terrorism, civil disturbance, governmental actions, labor disputes, utility outages, Internet failures, telecommunications failures, hosting-provider failures, widespread software failures, cyberattacks, or similar events.
28. CHANGES TO THIS AGREEMENT
Licensor may revise this Agreement from time to time to address changes in the Software, Hosted Services, security requirements, business operations, technology, or law.
Each revision may be identified by an effective date or version number.
Material changes will apply prospectively.
When reasonably appropriate, Licensor may require Licensee to electronically accept a revised Agreement before continuing a subscription, completing a payment, or continuing use of Hosted Services.
29. GOVERNING LAW
This Agreement shall be governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules, except where federal law or another applicable law controls.
30. SEVERABILITY
If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in effect.
31. NO WAIVER
Failure by Licensor to enforce a provision of this Agreement on one occasion does not waive the right to enforce that provision later.
32. ENTIRE AGREEMENT
This Agreement, together with applicable ordering information, subscription terms, policies expressly incorporated into it, and written amendments agreed to by the parties, constitutes the agreement between Licensee and Licensor regarding the Software and Hosted Services and supersedes inconsistent prior software-license terms concerning the same subject matter.
33. ELECTRONIC ACCEPTANCE
Licensee agrees that electronic acceptance of this Agreement may constitute acceptance of the Agreement.
Electronic acceptance may include checking an acceptance box, clicking an acceptance button, submitting an order, activating a subscription, or another electronic process demonstrating Licensee's agreement.
Records identifying the Agreement version, date and time of acceptance, customer, account, transaction, or other identifying information may be retained as evidence of acceptance.
Where the parties expressly agree to a subscription modification under Section 6, the authenticated Support Desk request and response records or other accepted written or electronic records may document that amendment. Such records may identify the company, submitting user, authority to request changes, message reference, date and time, applicable Agreement version, approved charges, effective date, and Licensee's affirmative acceptance. An unapproved or unanswered request does not amend this Agreement.
